Terms of Service

By accessing or using the SignalPanel platform at www.signalpanel.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not access or use the Service.

SignalPanel is a synthetic customer research and persona simulation platform. The Service allows users to:

• Define and manage customer archetypes based on audience research;
• Generate AI-powered synthetic personas derived from those archetypes;
• Run qualitative simulations and panel tests against those personas;
• Generate insights, reports, and structured findings from simulation results.

The Service is intended for business users — product managers, marketers, researchers, and growth practitioners — as a pre-validation and hypothesis-testing tool.

To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials;
• All activity that occurs under your account;
• Notifying us immediately at legal@signalpanel.app if you suspect unauthorised access.

Each account is for a single organisation. You may invite additional team members to your workspace in accordance with your plan. Sharing login credentials between multiple organisations is not permitted.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights;
• Upload, transmit, or process content that is defamatory, obscene, discriminatory, or otherwise unlawful;
• Attempt to gain unauthorised access to the Service, other accounts, or associated systems;
• Reverse-engineer, decompile, or disassemble any part of the platform;
• Scrape, crawl, or extract data from the Service using automated means without our written consent;
• Use the Service to generate content that impersonates real, identifiable individuals;
• Use the Service to train competing AI models without our prior written consent;
• Circumvent, disable, or interfere with security-related features of the Service.

We reserve the right to suspend or terminate access to any account that violates this policy, without prior notice.

The Service is currently available at no charge under our free access programme. All accounts are provisioned at Enterprise tier during this period.

We reserve the right to introduce paid subscription plans at any time. If we do, we will provide at least 30 days' advance notice by email before any pricing change takes effect on existing accounts. Continued use of the Service after a pricing change constitutes acceptance of the new terms.

We may also offer additional paid features, add-ons, or higher-tier plans. All pricing will be displayed clearly before you commit to any purchase.

SignalPanel Ltd IP. The SignalPanel platform, including its software, design, branding, documentation, and all AI models and algorithms, is owned by SignalPanel Ltd and protected by copyright, trade mark, and other intellectual property laws. These Terms do not grant you any rights to our IP except the limited licence to use the Service as described herein.

Your Content. You retain ownership of all data, documents, and content you upload to the Service ("Your Content"). By uploading Your Content, you grant SignalPanel Ltd a limited, non-exclusive, worldwide licence to process Your Content solely for the purpose of providing the Service to you.

Generated Outputs. Archetypes, personas, simulation results, and reports generated by the Service based on Your Content are owned by you, subject to these Terms.

The Service uses large language models (LLMs) to generate synthetic personas, simulation responses, and insights. You acknowledge and agree that:

• All personas, responses, and insights are AI-generated and entirely synthetic. They do not represent the views, opinions, or data of any real person.
• AI outputs may be inaccurate, incomplete, or inconsistent. They are intended as directional tools for hypothesis testing, not as definitive research findings.
• You are solely responsible for any decisions made based on AI-generated outputs. SignalPanel Ltd does not warrant the accuracy, reliability, or fitness for purpose of any output.
• The Service is not a replacement for real customer research. Always validate critical decisions with actual users or customers.

You are responsible for ensuring that any data you upload to the Service complies with applicable laws, including data protection laws. You must not upload personal data of third parties unless you have a lawful basis to do so.

We process personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

We implement appropriate technical and organisational security measures to protect Your Content. However, no system is perfectly secure and we cannot guarantee absolute security.

The Service integrates with third-party providers including Supabase (database and authentication), Vercel (hosting and infrastructure), Resend (transactional email), and AI model providers. Your use of the Service is subject to the terms and privacy policies of these providers where applicable.

We are not responsible for the availability, accuracy, or practices of any third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) any defects will be corrected; (c) the Service or any content is free from viruses or other harmful components; or (d) AI-generated outputs will be accurate or suitable for any particular purpose.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIGNALPANEL LTD AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, business opportunities, or goodwill;
• Damages arising from your reliance on AI-generated outputs;
• Any matter beyond our reasonable control.

Where liability cannot be excluded by law, our total aggregate liability to you for all claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) £100.

You agree to indemnify, defend, and hold harmless SignalPanel Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your breach of these Terms; or (d) your violation of any third-party rights.

By you. You may close your account at any time by contacting us at legal@signalpanel.app. Upon account closure, your data will be deleted in accordance with our Privacy Policy.

By us. We may suspend or terminate your access at any time if: (a) you breach these Terms; (b) we are required to do so by law; or (c) we decide to discontinue the Service, in which case we will provide at least 30 days' notice.

Sections 6, 7, 10, 11, 12, 14, and 15 survive termination.

We may update these Terms from time to time. When we make material changes, we will notify you by email and update the effective date above. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.

If you do not agree to the updated Terms, you should stop using the Service and close your account before the effective date.

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your jurisdiction require otherwise.
